The terms that govern your use of Activated, provided by Activated Technologies LLC.

Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and Activated Technologies LLC d/b/a Activated ("Activated," "we," "us"). By creating an account or using the app, you agree to these Terms.

If you do not agree, do not use Activated. If you are using Activated on behalf of someone else, you confirm you are authorized to do so.

What Activated is

Activated is operated by Activated Technologies LLC and is a health and wellness technology company. We build the software that helps you understand your health data, organize your results, and reach the independent professionals and services that deliver care.

Through Activated you can access products and services offered by us and by our third-party partners, including licensed clinicians, phlebotomists, laboratories, pharmacies, and other health and wellness providers. Those partners, not Activated, deliver the clinical services.

Activated is not a healthcare provider, medical practice, laboratory, or pharmacy. It does not practice medicine, perform laboratory testing, or dispense prescriptions. It provides technology that facilitates your access to the licensed third parties who do.

Who can use Activated

You must be at least 18 years old and able to enter into a binding agreement to use Activated.

You agree to provide accurate information and to keep your account credentials secure. You are responsible for activity that happens under your account.

What Activated provides, and what it does not

Activated provides health education, organization of your data, and personalized, non-diagnostic recommendations. It is not a medical provider and does not provide medical advice, diagnosis, or treatment.

Lab testing is performed by independent CLIA-certified laboratories. Any prescription is evaluated and written by an independent licensed clinician and dispensed by a licensed pharmacy, who also collect payment for those services. Those services are provided by third parties under their own terms, and a clinician may decline to prescribe.

Using Activated does not create a doctor-patient relationship with Activated. Always consult a qualified professional before making a medical decision, and never disregard professional advice because of something you read in the app.

Your responsibilities

Use Activated only for lawful, personal purposes and follow these Terms.

Do not misuse the service, for example, by attempting to access other members' data, disrupting the service, reverse-engineering it, or using it to provide medical care to others.

Keep your profile and health information accurate so that the education and any partner services work as intended.

The AI coach

Activated includes an AI coach that can discuss your results, plan, and general health topics. It is an educational tool: its answers are generated by artificial intelligence, may be incomplete or wrong, and are not medical advice, diagnosis, or treatment.

Do not rely on the coach for urgent or emergency concerns, and confirm anything that matters with your results and a licensed clinician. You are responsible for how you use the information it provides.

Membership, payments, and renewals

Activated Membership is an annual subscription. The price and what is included are shown at checkout, and payments are processed by our payment provider (Stripe).

Your membership renews automatically at the end of each term for the same duration at the then-current rate, unless you cancel before renewal. Any new-member or promotional pricing you received at signup stays locked at your original rate for as long as your membership remains continuously active.

You can cancel anytime from your profile or by emailing support@activated.app. Cancellation stops future renewals; amounts already charged for the current term are non-refundable except where the law requires otherwise.

When you order a test, supplement, or prescription product, you authorize the associated charge. If a clinician determines a prescription product is not appropriate for you, you will not be charged for that medication. Refunds and fulfillment for partner-provided services are also subject to the relevant partner's policies.

App stores

If you install Activated from the Apple App Store or Google Play, their terms also apply to the download itself. Apple and Google are not parties to these Terms, are not responsible for the service, and have no obligation to support it.

Membership is billed through our payment provider, not through in-app purchase, because it includes real-world laboratory and care services delivered by our partners.

Intellectual property and feedback

Activated, including its content, design, and software, is owned by Activated or its licensors and is protected by law. We grant you a limited, personal, non-transferable license to use the app.

Your own data remains yours. By using the app, you allow us to process it to provide and improve the service as described in our Privacy Policy.

If you send us feedback or suggestions, you agree we may use them without restriction or compensation. It helps us make the product better.

If you believe content in the service infringes your copyright, send a notice with the details required by the Digital Millennium Copyright Act to support@activated.app or by mail to 2125 Biscayne Blvd, Ste 204 #26853, Miami, FL 33137, and we will respond as the DMCA requires.

Disclaimers and limitation of liability

Activated is provided "as is" without warranties of any kind, to the fullest extent allowed by law. We do not warrant that the service will be uninterrupted, error-free, or that any educational content is complete or applies to your situation.

To the fullest extent permitted by law, Activated will not be liable for indirect, incidental, or consequential damages arising from your use of the service, and our total liability for any claim is limited to the amount you paid us in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You agree to defend and hold Activated harmless from claims and costs (including reasonable attorneys' fees) that arise from your misuse of the service, your violation of these Terms, or your violation of someone else's rights.

Arbitration and class-action waiver

Most concerns can be resolved quickly by emailing us, and we will always try that first. If we cannot resolve a dispute informally within 30 days, you and Activated agree to resolve it through binding individual arbitration administered by the American Arbitration Association in Miami-Dade County, Florida (or remotely by video), rather than in court. Except that either party may use small-claims court for qualifying disputes.

You and Activated each waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration provision by emailing us within 30 days of first accepting these Terms.

Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. If any provision of these Terms is found unenforceable, the rest remain in effect.

We may assign these Terms as part of a merger, acquisition, or sale of assets; you may not assign them without our consent.

Changes, termination, and contact

We may update these Terms or the service over time. If a change is material, we will take reasonable steps to notify you, and continued use means you accept the updated Terms.

You may stop using Activated and close your account at any time. We may suspend or end access if these Terms are violated or to protect the service or its members.
